Communisis has acquired customer relationship marketing firm The Communications Agency (TCA) for £8 million.
London-based TCA is a long-established, award-winning agency that specialises in brand response and customer relationship marketing. According to a statement by Communisis, a leading provider of personalised customer communication services, TCA’s broad capabilities and experience across all media channels including TV, experiential and digital are central to the development of its own integrated and differentiated agency model.
The deal will aim to allow Communisis to broaden its integrated model and will see the group’s existing client portfolio – which its website states includes VUE, Royal Bank of Scotland, Fiat, Argos and British Airways – move across as well. Communisis will also take on TCA’s entire staff of 42 employees as part of the deal.
The deal will include a base consideration of £7.25 million and surplus cash of £0.75 million held by TCA. The consideration will include £6.55 million in cash and 2,404,643 new ordinary shares in Communisis to the value of £1.45 million. A further £0.5 million will be deferred to TCA depending on financial performance this year.
