Construction materials distributor Brickability Group has acquired roofing services contractors Beacon Roofing for a total consideration of £6.5 million. The acquisition follows Brickability’s August 2021 takeover of Hampshire-based roofer Leadcraft.
The total consideration reflects a 5.9x multiple of Beacon’s £1.1 million normalised EBITDA for the 12 months ending January 31 2022, generated on unaudited revenue of £8.9 million. The fee, which will be funded from existing Brickability resources, is payable through an initial £4.5 million payment and a £2 million deferred consideration, to be paid in cash over the coming three years.
Beacon Roofing was founded in 1993 and is based in Surrey. The company operates across the South East of England, predominantly working for developers, national house builders and luxury domestic projects.
Beacon Roofing’s services include planning, specification and installation, with the company working across a broad array of materials and finishes, including slate, clay tile, leadwork, fibreglass, zinc and photovoltaic (PV) solar panels.
AIM-listed Brickability, which is headquartered in Bridgend, expects the acquisition to be immediately earnings accretive upon completion, with Beacon Roofing strengthening its roofing services business, alongside the recently acquired Leadcraft.
Brickability CEO Alan Simpson commented on the deal: “Beacon is another great addition to our profitable Roofing Services division, further expanding our coverage in the South East. This acquisition follows the acquisition of Leadcraft, the Hampshire based roofing contractor in August 2021 which continues to perform strongly.”
